Bardi Holdings Pty Ltd is the Trustee for our Private Equity Investment Company.

The opportunities which the Company invests in include, but are not limited to, seed and venture capital raisings for companies proposing to list on Australian Stock Exchange Limited (ASX), initial public offerings (ie, IPO's), share placements and other capital raisings for companies which are already listed on ASX.

In order to achieve its objectives, the Company identifies and assess' business and investment opportunities which satisfy specific criteria set out by the Investment Committee. The Committee will consider, amongst other things, the following in respect of each investment:

• the expected investment time frame
• liquidity constraints;
• the likely risk and potential reward;
• the quality of management; and
• the asset / cash backing

The Company's investment strategy is guided by specific overriding principles, namely:

• where possible, entering investment opportunities on a wholesale level (often primary market offers);
• identifying investments which can be entered at a discount to the prevailing market price; and
• investing in speculative opportunities on a short to medium term basis with a view to creating longer term shareholder wealth.
• Long term growth opportunities that present compelling management and fundamental strength.

The directors of the Company have the ability to invest some or all of the Company's capital in their absolute discretion and we are actively seeking investment grade opportunities to invest in or to co-invest with similar investors in our network.
